Terms of Service

By creating an account or using KestrelBid (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and BPRM Holdings LLC (“Company,” “we,” “our,” or “us”).

We may update these Terms from time to time. When we do, we'll update the “Last updated” date at the top and, for material changes, notify you by email or by a notice on the Service. Continued use after any changes constitutes acceptance of the updated Terms.

KestrelBid is a B2B software-as-a-service (SaaS) tool that helps contractors — primarily in HVAC, roofing, and remodeling — generate professional proposals using AI. The Service lets you describe a job, select a template, and produce a formatted proposal (including PDF export and hosted proposal links) in approximately 60 seconds.

We are not a licensed contractor, estimator, or financial advisor. The proposals generated by KestrelBid are starting points intended to be reviewed and edited by you before sending to customers. You are solely responsible for the accuracy and completeness of any proposal you send.

You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@kestrelbid.com if you suspect unauthorized access.

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use, not personal or consumer use.

KestrelBid offers free and paid subscription plans. Free usage is limited to 3 proposals. Paid plans are billed on a monthly or annual basis as selected at checkout.

All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees to your payment method. Prices are listed in US dollars. Taxes may apply.

Annual plans: If you choose annual billing, you are charged once per year at the annual rate. If you upgrade mid-cycle, the unused portion of your current plan is prorated and credited toward the new plan.

Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months on monthly plans, except as required by law.

We reserve the right to change pricing with 30 days' advance notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or prompt templates
• Use the Service to generate fraudulent, misleading, or deceptive proposals
• Share your account credentials with others outside of authorized team seats
• Resell or sublicense access to the Service without our written consent
• Interfere with or disrupt the security or integrity of the Service

We own all rights, title, and interest in the KestrelBid platform, including the software, templates, AI models, and underlying technology. Nothing in these Terms transfers ownership of the platform to you.

Your content:You retain ownership of any text, data, or files you input into the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely to provide the Service to you. We do not use your proposal content to train AI models without your explicit consent.

Generated proposals: Proposals generated by the Service are provided to you for your use. You own the final proposal documents you produce and send.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AI-GENERATED PROPOSALS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE.

You are solely responsible for reviewing proposals before sending them to customers and for ensuring they comply with your local laws and licensing requirements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BPRM HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless BPRM Holdings LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) any proposals you generate and send using the Service; or (c) your violation of these Terms.

Either party may terminate the agreement at any time. You may terminate by canceling your subscription and deleting your account. We may suspend or terminate your account if you violate these Terms, with or without notice.

Upon termination, your right to access the Service ceases. Your data will be retained for 30 days following termination to allow export, after which it may be permanently deleted.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or your use of the Service will be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against us.

We may modify these Terms at any time. For material changes, we will provide at least 14 days' notice by email or by posting a notice in the Service. Your continued use after the effective date constitutes your acceptance of the modified Terms.
